Terms & Conditions
Last updated: 25 October 2026 (LaimonTree Customer Terms, version 2)
These terms are an agreement between Digiscope BV, registered office at Jan Blockxstraat 1, 2018 Antwerp, Belgium, company number BE 0699.474.918 ("we", "us"), which operates LaimonTree, and the organisation on whose behalf they are accepted ("you"). You accept them by accepting an invitation to a LaimonTree project, by ordering a project, or by using LaimonTree for a project. The person accepting confirms they are authorised to bind your organisation.
1. The service
LaimonTree helps you design your organisation: stakeholder interviews (text or voice), design and sorting criteria, scenarios, unit charters and unit assignments, with an AI assistant (Laimon) working alongside your team ("the Service"). We may improve and change the Service. We will not remove a feature you are using in a running project without telling you in advance.
2. Projects and price
2.1 The Service is sold per project. The price depends on the band that matches the number of people in scope of the project, as shown in the price list at the time of order or in the invitation you accepted. A project includes unlimited interviews within fair use: on average 90 interview minutes per person in scope.
2.2 If the number of people in scope grows beyond the band you ordered, we invoice the difference with the price of the higher band.
2.3 All prices are in euro and exclude VAT, which is added where it applies.
2.4 We may offer a free trial with limited features and duration. A trial is free of charge, sections 2.1 to 2.3 and 3 do not apply to it, and we may change or end trial offers at any time.
3. Payment
3.1 Each project is invoiced in two parts: a deposit and the balance. The deposit percentage depends on the band and is stated in the price list and on the invitation (for example 100% for a Team project, 50% for a Department project). The deposit is due before the project starts or, when we create the project before receiving it, by the due date on the invoice. The balance is invoiced when the project is created and is due 30 days after it.
3.2 Payment terms never exceed 60 days. On late payment, interest is due by law under the Belgian Act of 2 August 2002 on combating late payment in commercial transactions, together with a fixed compensation of €40 for recovery costs, without prejudice to higher proven costs.
3.3 If the balance is still unpaid 45 days after the project was created, we may stop new interview invitations for that project until it is paid. Interviews already planned and your existing data are not affected.
3.4 Fees for a project that has started are not refundable, except where the law requires it.
4. Projects through a LaimonTree partner
4.1 Referral. When a partner refers you, you buy the project from us under these terms and pay us. The partner is an independent consultant, not our agent or employee, and cannot bind us. Any consulting services the partner provides to you are governed by your own agreement with the partner. We pay the partner a commission; this does not change your price.
4.2 Resell. When a partner resells LaimonTree to you, you buy and pay for the project under your agreement with the partner, and sections 2 and 3 do not apply to you. These terms still govern your use of the Service and the protection of your data.
4.3 A partner working on your project receives the Organisational Design Consultant role in your organisation. You can remove that access at any time from your organisation's members page.
5. Accounts and acceptable use
5.1 You are responsible for the people you give access to, for keeping login details confidential, and for activity under your organisation's accounts. Tell us promptly at [email protected] about any unauthorised use.
5.2 You will not use the Service to break the law, to upload content you have no right to share, to collect interview data without a valid legal basis, to try to access other customers' data, or to interfere with the Service.
6. Your content and AI output
6.1 You keep all rights to the data, interview responses, criteria, scenarios and other content you or your interviewees put into the Service ("Your Content"), and to the output the Service produces for your project. You give us the right to host and process Your Content only to provide the Service to you.
6.2 We do not use Your Content to train AI models.
6.3 Interview summaries, criteria, scenarios, scores and other output are produced with AI models and can contain errors. They support your decisions and do not replace them: review them before you rely on them, in particular before decisions about people's roles or jobs. The Service reports at role and team level and is not designed to assess individuals.
7. Data protection
7.1 For personal data in Your Content, including interview responses and voice recordings, you are the controller and we are your processor under the GDPR. This section is the data processing agreement between us (article 28 GDPR).
7.2 We will: process personal data only on your documented instructions, which are these terms and your use of the Service; ensure that people with access are bound by confidentiality; apply appropriate technical and organisational security measures, including encryption in transit, access control and logging; help you answer requests from data subjects and meet your obligations on security, breach notification and impact assessments; notify you without undue delay, and within 48 hours of becoming aware of it, of a personal data breach affecting Your Content; make available the information needed to demonstrate compliance and allow audits on reasonable notice, at your cost, no more than once a year unless a breach occurred.
7.3 You authorise us to use the following sub-processors: Fly.io (application hosting, EU), Cloudflare (web delivery, EU), MongoDB Atlas (database, EU), Hetzner (file storage, Germany), Clerk (sign-in), Resend (email delivery), Stripe (payments), Mistral AI (AI processing, EU), and xAI (voice interviews). We will tell you at least 30 days before adding or replacing a sub-processor; you may object on reasonable grounds and, if we cannot address the objection, end the agreement for the projects concerned. We impose data protection obligations on sub-processors equivalent to this section. Where a sub-processor processes data outside the EEA, we rely on an adequacy decision or the European Commission's standard contractual clauses.
7.4 You are responsible for having a legal basis for the interviews, for informing interviewees, including that an AI interviewer conducts the interview and, for voice interviews, that audio is processed, and for documenting the legal basis you rely on. Interviewees are not asked for consent: the basis we design for is your legitimate interest, which you document in the Privacy & Legal Basis step of the project. Every invitation links to an information notice and a separate link to object.
7.5 When the agreement ends, you can export Your Content for 30 days. We then delete it within 90 days, except where the law requires us to keep it; backups are overwritten in their normal cycle.
8. Confidentiality
Each party keeps the other's non-public information confidential, uses it only for this agreement and shares it only with people who need it and are bound by confidentiality. This does not apply to information that is public through no fault of the receiving party, was already known to it, or must be disclosed by law.
9. Intellectual property
The Service, its software, design, question bank and methodology belong to us or our licensors. You may use them only to run your projects in the Service. You may not export the question bank in bulk, copy the Service or build a competing product from it.
10. Warranties and liability
10.1 We will provide the Service with reasonable care and skill. Apart from this, the Service is provided as is, and we do not guarantee any particular result of your organisational design work.
10.2 Neither party is liable for indirect or consequential loss, such as lost profit, lost revenue or loss of goodwill. Each party's total liability under this agreement is limited to the fees paid or payable to us for the project concerned in the twelve months before the event giving rise to the claim.
10.3 These limits do not apply to fraud, intentional misconduct, or any liability that cannot be limited by law.
11. Term and termination
11.1 This agreement runs as long as you have a project or an account in the Service.
11.2 Either party may end it with immediate effect by written notice if the other party seriously breaches it and does not remedy the breach within 30 days of a written notice, or becomes insolvent. We may suspend access for non-payment under section 3.3 or for a breach of section 5.2.
11.3 Ending the agreement does not cancel fees already due. Sections 3, 6, 7.5, 8, 9 and 10 continue to apply.
12. Changes to these terms
We may update these terms. We will tell your organisation's owners at least 30 days before a change takes effect. A change does not apply to a project already ordered unless you accept it.
13. Law and courts
These terms are governed by Belgian law. The courts of the judicial district of Antwerp have exclusive jurisdiction.
